Terms and Conditions of wallet

This is an amendment to a contract (“Original Contract”) dated the Contract Dates entered into between the Doctor and TopDoctors UK Limited (“TopDoctors®”), 10 Margaret Street, W1W 8RL, London, United Kingdom. The Original Contract is amended as follows.

• Save as amended by this document the Original Contract shall remain in full force and effect. In the event of any conflict between this document and the Original Contract this Document shall prevail.
• The services provided by TopDoctors® shall include a facility administered by TopDoctors® (“Wallet”) enabling Referred Users to make prepayments towards the costs of any future appointments or other facilities to be provided by the Doctor to the relevant Referred User subject always to the terms and conditions of the Wallet all as detailed from time to time within the Website.
• The Doctor authorises TopDoctors® on behalf of the Doctor to issue, manage and collect invoices rendered by the Doctor through the Private Access and arrangements pertaining to the Wallet. All such invoices and relevant information shall be available on the Private Access to be viewed by the Doctor. TopDoctors® shall have no liability or responsibility for any taxes or other payments properly due by the Doctor. The Website shall include such interactivity with the User or Referred User to ensure either (i) that the consent for payment of any relevant invoice has been obtained from the relevant User or Referred User or (ii) the arrangements pertinent to the Wallet have been followed and implemented. TopDoctors® will, on behalf of the Doctor, manage the payment of any relevant invoice information which will be available to the Doctor and the User or Referred User. On receipt of any funds from the User or Referred User pertaining to an invoice issued by or in behalf of the Doctor, TopDoctors® shall monthly credit the Doctor to the bank account of the Doctor detailed below with the funds received from the User or Referred User in payment of the relevant invoice. Where funds have been received through invoice payment by the Referred User where effected on behalf of the Doctor by TopDoctors® or the Wallet has been properly utilised, TopDoctors® shall be entitled to deduct, as their own funds, any charges due by the Doctor to TopDoctors®, howsoever created, from time to time from any credits held on behalf of the Doctor by TopDoctors®.
• The cost of the Wallet to the Doctor shall be £5payable to TopDoctors® on each occasion of the use by the User or Referred User. The Doctor shall by the obligations incumbent upon the Doctor in the operation of the Wallet as described in the terms of use applicable to and narrated within the Website
• Expiry or termination of the Original Contract as amended by this document shall be without prejudice to obligations upon the Doctor or TopDoctors® to complete a reconciliation of the sums due to or by TopDoctors® and the Doctor in respect of any User, Referred User or arising under the Original Contract as amended by this document.
